I read one report where much of this is to directly undo the effects of the Sarbanes-Oxley Act - which was designed to protect investors and the public from things like Enron - but has had a net effect of costing billions of dollars of regulatory layers and made doing business in the US as a public company very unpleasant, difficult & expensive proposition.
